Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ReineiraOS website, documentation, developer tools, and SDK (collectively, the “Services”) provided by Reineira Labs FZE (“Reineira Labs,” “we,” “us,” or “our”), a company registered in the Ras Al Khaimah Digital Assets Oasis (RAK DAO), United Arab Emirates.

Reineira Labs is solely the development company behind the ReineiraOS protocol. The protocol is fully decentralized, open-source software. Once deployed, the protocol operates autonomously on public blockchain networks. Reineira Labs does not operate, control, or administer the protocol, nor does it act as an intermediary in any transactions processed through it. Your interaction with the on-chain protocol is governed by the smart contract code itself, not by these Terms.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Testnet and Experimental Status

All ReineiraOS smart contracts are deployed on the Arbitrum Sepolia testnet and potentially other public test networks. Testnet tokens have no monetary value. Testnets may be reset, deprecated, or discontinued by their respective network operators at any time without notice.

The protocol, SDK, developer tools, and all associated software are provided in an experimental, pre-production state. Features, APIs, interfaces, and contract addresses may change without notice and without backward compatibility. During the testnet phase, smart contracts use UUPS upgradeable proxies and the upgrade authority is held by Reineira Labs. This testnet-phase mechanism means contract logic may be modified or redeployed at any time. Upgradeability is intended to be removed or transferred to decentralized governance prior to any mainnet deployment.

You acknowledge and agree that:

• The Services are not suitable for production use or real financial transactions
• Testnet deployments may be reset, redeployed, or discontinued at any time
• Smart contract logic may be upgraded, modified, or replaced without prior notice
• No guarantees of continuity, uptime, or data persistence are provided
• Past testnet behavior does not guarantee future mainnet behavior

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you are not prohibited from using the Services under any applicable law or regulation.

3. Nature of the Services

Reineira Labs is a software development company. Our sole role is to develop and publish the ReineiraOS protocol — open-source, composable on-chain primitives including escrow, condition verification, cross-chain settlement, and insurance — that developers may integrate into their own applications.

The protocol is fully decentralized. Once deployed to a blockchain network, it operates autonomously without ongoing intervention or control by Reineira Labs. We do not process transactions, manage user accounts, or intermediate any on-chain activity.

Reineira Labs is not and does not act as:

• An operator, administrator, or controller of the protocol
• A financial institution, bank, money transmitter, or payment processor
• A custodian of any funds, tokens, or digital assets
• An insurance company or underwriter
• A broker, dealer, or exchange
• A provider of investment, financial, legal, or tax advice

The protocol operates in a non-custodial, permissionless manner. At no point does Reineira Labs take custody of, control, or have the ability to access funds processed through the protocol. All encrypted data is encrypted client-side; we do not hold decryption keys.

4. Disclaimer of Warranties

Without limiting the foregoing, we make no representations or warranties that:

• The Services will be uninterrupted, error-free, secure, or free of vulnerabilities
• Smart contracts will function as described or be free of bugs or exploits
• Encryption, including Fully Homomorphic Encryption (FHE), will perform as expected under all conditions or network states
• Testnet conditions will reflect mainnet behavior
• Any third-party protocol, service, or network we integrate with will remain operational
• The documentation is complete, current, or accurate at any given time

You acknowledge that blockchain technology, smart contracts, and cryptographic systems involve inherent risks, including but not limited to software bugs, protocol exploits, network congestion, consensus failures, and regulatory uncertainty.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REINEIRA LABS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

6. Assumption of Risk

By using the Services, you expressly acknowledge and assume the following risks:

• Smart contract risk. Smart contracts may contain undiscovered bugs, vulnerabilities, or logic errors that could result in unexpected behavior or loss of testnet assets.
• Cryptographic risk. FHE and zero-knowledge proof technologies are emerging and may have undiscovered limitations or attack vectors.
• Network risk. Blockchain testnets are experimental networks subject to instability, resets, forks, and discontinuation without notice.
• Third-party risk. The protocol integrates with external services and protocols (Circle CCTP, Fhenix, Arbitrum, Reclaim Protocol) whose availability and behavior are outside our control.
• Upgradeability risk. Testnet contracts are upgradeable. Contract logic, storage layout, and access controls may be changed by the contract owner at any time.
• Regulatory risk. The regulatory landscape for blockchain technology, digital assets, and encrypted financial infrastructure is evolving. Future regulations may materially affect the Services.

7. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Attempt to circumvent, disable, or interfere with security features of the protocol or connected networks
• Submit malicious code, exploits, or transactions designed to disrupt the protocol or harm other users
• Use the Services in any jurisdiction where such use is prohibited
• Misrepresent your identity, the nature of your use, or your affiliation with any person or entity
• Use the protocol to facilitate money laundering, terrorist financing, sanctions evasion, or other illicit activity, even on testnets

We reserve the right to restrict access to the website, documentation, and SDK at our sole discretion if we reasonably believe you are in violation of these Terms. The on-chain protocol is permissionless and is not within our ability to restrict on a per-user basis.

8. Intellectual Property

ReineiraOS smart contracts are licensed under the Business Source License 1.1 (BUSL-1.1) unless otherwise stated. Certain components may be licensed under Apache 2.0 or CC-BY-4.0 as indicated in the respective source files.

The ReineiraOS name and logo are the property of Reineira Labs FZE. No trademark registrations are currently held. We reserve all rights in our brand assets and may seek trademark protection in the future.

Your use of the Services does not grant you any ownership interest in the protocol, codebase, or intellectual property of Reineira Labs.

9. Third-Party Dependencies

The Services rely on third-party blockchain networks, protocols, and infrastructure providers. We are not responsible for the availability, performance, security, or conduct of any third-party service, including but not limited to:

• Arbitrum (network infrastructure and consensus)
• Fhenix (FHE coprocessor and encryption infrastructure)
• Circle (CCTP cross-chain messaging and USDC)
• Reclaim Protocol (zero-knowledge proof verification)

Your interaction with third-party protocols is governed by their respective terms and policies. We make no warranties regarding their continued availability or compatibility.

10. Protocol Fees

The on-chain protocol may include configurable fee parameters (such as operator fees and protocol fees) that are defined in the smart contract code and visible on-chain. During the testnet phase, these fees apply only to valueless testnet tokens. Fee parameters, rates, and recipient addresses are set in the smart contract code and may be adjusted during the testnet phase as part of ongoing development and testing.

Reineira Labs does not charge fees for use of the website, documentation, or SDK.

11. Insurance Module Disclaimer

The ReineiraOS insurance module provides a framework for permissionless, decentralized coverage pools. It is developer infrastructure, not an insurance product.

• Reineira Labs does not underwrite, guarantee, or back any coverage pool created through the protocol
• Insurance policies are defined by third-party smart contracts implementing the IUnderwriterPolicy interface; their behavior is outside our control
• No coverage pool created on the testnet represents a binding insurance contract or obligation
• The term “insurance” as used in the protocol documentation refers to a technical primitive, not a regulated insurance product

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

13. Indemnification

You agree to indemnify, defend, and hold harmless Reineira Labs and its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any application, smart contract, or service you build using ReineiraOS infrastructure.

14. Modification and Termination

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the Services after such changes constitutes acceptance.

We may suspend or discontinue the website, documentation, SDK, and other Services we directly provide, in whole or in part, at any time and for any reason, without liability to you. The on-chain protocol, once deployed, operates independently of Reineira Labs and its availability depends on the underlying blockchain network, not on us. Given the testnet and experimental nature of the Services, you should have no expectation of continuity.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the regulations of the Ras Al Khaimah Digital Assets Oasis (RAK DAO) and, where applicable, the federal laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be resolved by binding arbitration administered under the rules of the RAK International Corporate Centre (RAK ICC), with the seat of arbitration in Ras Al Khaimah, UAE.

You agree to attempt to resolve any dispute informally by contacting us before initiating formal proceedings. If a dispute cannot be resolved informally within 30 days, either party may proceed with formal proceedings.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Reineira Labs regarding the Services and supersede all prior agreements, representations, and understandings.
